IVS Group S.A. - Warrants exercise
Luxembourg, November 16, 2012
With reference to the procedures for the exercise of the Warrants of IVS Group S.A. relating to
the First Monthly Exercise period of November 2012 (1 - 15 November), IVS Group S.A.
informs that it has elected to settle the Warrants on a “Cashless Basis”, i.e. without any
obligation by the Warrantholder to the payment of the Exercise Price, according to Art. 2
(c.VIII) of the Warrant Regulation.
Morevover, IVS Group S.A. informs that the term for market communication of the faculty
provided by the aforementioned Article 2 (c.VIII) of Warrant Regulation ("Cashless"
settlement), in the event of the exercise of warrants on the last day of the First or Second
Monthly Period, will be extended from the first to the second Trading Day following the end of
the relevant period. IVS Group S.A. clarifies also that the final term of the Exercise Period of
the warrants is January 28, 2016 at 17.00 (CET).

Con riferimento alla procedura di esercizio dei Warrant di IVS Group S.A. relativamente al Primo Periodo
Mensile del mese di novembre 2012 (1 - 15 novembre), IVS Group S.A. informa di aver optato per
l’esercizio della facoltà di conversione dei Warrant con modalità “Cashless Basis”, cioè senza obbligo per il
portatore dei Warrant di pagamento del prezzo di esercizio, come previsto dall’art. 2 (c. VIII) del
Regolamento Warrant.
IVS Group S.A. informa inoltre che il termine per la comunicazione al mercato dell’eventuale esercizio della
facoltà prevista dal citato art. 2 (c.VIII) del Regolamento Warrant (esercizio “Cashless”), in caso di esercizio
di warrant nell’ultimo giorno del Primo o Secondo Periodo Mensile, sarà esteso dal primo al secondo giorno
di negoziazione (Trading Day) successivo al termine del relativo periodo. Si precisa inoltre che il periodo
(Exercise Period) dei warrant terminerà alle ore 17.00 (CET) del 28 gennaio 2016.
